These Terms & Conditions (“Terms”) govern your access to and use of the services provided by Apex Circle, operated by The Apex Circle (“Apex Circle”, “Apex”, “we”, “us”, “our”). By applying for membership, purchasing a membership, participating in activities, or accessing any part of Apex Circle, you (“Member”, “you”, “your”) agree to be bound by these Terms.
If you do not agree to these Terms, you may not use our services.

1. About Apex Circle
Apex Circle is a private membership-based platform that connects individuals through curated group experiences, monthly squad matchings, and community-driven events (“Services”). Apex Circle is not a travel agency, tour operator, fitness provider, or professional advisory service.
Apex Circle facilitates group formation and activity coordination but does not directly operate the activities offered to Members.

2. Membership & Account Requirements
2.1 Eligibility
To become a Member, you must:
- Be at least 18 years old
- Provide accurate and complete information in the application
- Agree to comply with these Terms and our Community Guidelines

Apex reserves the right to accept or decline any application at its sole discretion.

2.2 Account Responsibility
You are responsible for maintaining the confidentiality of your account information and for all activities conducted under your account. Notify us immediately of any unauthorized access.

3. Membership Fees & Payment3.1 Membership Types
Apex may offer various membership plans (monthly, quarterly, annual, or pilot programs). Each membership grants you access to specific features, benefits, and events as described at the time of purchase.

3.2 Fees and Renewal
All fees are displayed on the website or application form and include applicable taxes unless stated otherwise.
Memberships renew automatically unless cancelled prior to the renewal date.
By subscribing, you authorise Apex to charge your selected payment method (e.g., Stripe).

3.3 Refund Policy
Membership fees are non-refundable, except where required by law.
No refunds are issued for:
- Failure to participate
- Personal scheduling conflicts
- Not being matched in a particular month (see Section 4)
- Changes in membership benefits

3.4 Failed Payments
If a payment fails, Apex may:
- Retry the payment
- Suspend access
- Cancel membership
You remain responsible for any outstanding amounts.

4. Squad Matching & Event Participation
4.1 Monthly Squad Matching
Apex matches Members into monthly squads based on:
- Availability submitted via the Monthly Availability Form
- Location provided in your account
- Group dynamics and diversity
- Operational feasibility

Apex cannot guarantee:
- A match every month
- A specific group or an activity of your preference
- That activities will occur in your city if local member availability is too low

4.2 Availability Forms
Members must complete the Availability Form by the communicated deadline.

Failure to submit the form may result in:
- No match that month
- Placement on a waiting list

4.3 Activities
Activities may include adrenaline sports, workshops, adventures, social gatherings, or third-party experiences:
- Apex facilitates but does not operate these activities
- May collaborate with external event partners
- Does not guarantee availability of any specific activity

5. Activity Safety, Health & Assumption of Risk
Participation in Apex experiences is voluntary. By participating, you acknowledge and agree that:
- Activities may involve physical exertion, outdoor conditions, transportation, or inherently risky environments.
- You are responsible for evaluating your own health, physical ability, and suitability.
- Apex provides no medical or professional safety assessment.
- You participate at your own risk.

To the maximum extent permitted by law, Apex is not liable for injuries, accidents, illnesses, or damages resulting from participation in activities, including those organized by third-party partners.

6. Member Conduct & Community Guidelines
Members must act respectfully, responsibly, and in the best interest of the community.
The following is strictly prohibited:
- Harassment, discrimination, or abusive behavior
- Endangering yourself or others
- Dishonesty or misrepresentation
- Sharing confidential member information
- Disrupting group dynamics
- Misuse of Apex intellectual property or brand assets

Apex reserves the right to suspend or terminate membership for violations of these Terms or community standards.

7. Third-Party Providers
Some activities are provided by independent third parties.
Apex is not responsible for:
- Quality of third-party services
- Safety measures taken by third-party operators
- Accuracy of third-party informationDelays, cancellations, or performance issues
- Your participation may be subject to the third-party provider’s terms and waivers.

8. Intellectual Property
All content provided by Apex — including logos, brand elements, text, visuals, videos, event descriptions, and communications — is owned by Apex Circle.

Members may not:
- Copy, distribute, modify, or publish Apex content
- Use Apex branding for commercial or public purposesImpersonate or misrepresent affiliation with Apex

9. Content From Members (Media Use)
During events, Apex or its partners may take photos or videos.

By participating, you grant Apex:
- A non-exclusive, royalty-free, worldwide license
- To use your image for marketing, community materials, and promotional content

You may opt out by notifying Apex in writing before the event.

10. Privacy & Data Processing
Apex collects and processes personal data required for:
- Membership administration
- Squad matchingCommunicationEvent coordination
- Community development
- Payment processing
- Apex will never sell your data.

11. Cancellations & Terminations
11.1 Member Cancellation
You may cancel your membership at any time through your account or by contacting Apex.
Your cancellation becomes effective at the end of your current billing cycle.

11.2 Termination by Apex
Apex may terminate or suspend your membership immediately if you:
- Breach these Terms
- Engage in harmful behavior
- Fail to pay membership fees
- Provide false information
Termination does not entitle you to a refund.

12. Disclaimers & Limitation of Liability
To the maximum extent permitted by law:
- Apex is not liable for indirect, incidental, punitive, or consequential damages.
- Apex does not guarantee uninterrupted service, availability, or error-free functionality.
- Apex is not responsible for actions, negligence, or omissions of third-party providers or Members.
- Participation in activities is at your own risk.

Nothing in these Terms excludes liability where such exclusions are prohibited by law.

13. Changes to Services and Terms
Apex may update:
- These TermsMembership benefits
- Squad matching procedures
- Event offerings
- Pricing

Updated Terms will be posted with a new effective date. Continued use of Apex indicates acceptance.

14. Governing Law & Dispute Resolution
These Terms are governed by Dutch law unless mandatory local consumer protection laws apply.

Disputes shall first be addressed through informal negotiation.

If unresolved, disputes may be submitted to the competent courts in the Netherlands.
